1. Definitions

“APMG” APM Group (Our Exam Institute)
“Balance Global” (trade name of Kingsmead Internet Investments Ltd).
“Client” Purchaser of a Balance Global Course.
“Delegate” Person nominated by Client to attend a classroom Course
“Exam Institute”

An Examination Institute (EI) is an organization accredited by AXELOS and permitted to operate an examination scheme through a network of Accredited Training Organizations, and Accredited Trainers with Accredited materials.

To attain a qualification based on any of the following products in the AXELOS portfolio – ITIL®, RESILIA™, PRINCE2®, PRINCE2 Agile™, M_o_R®, P3O®, MSP®, MoV® or MoP® – candidates must sit exams with an authorized EI.

Our Strategic Examination Institutes are:

  • Acquiros (formerly known as CSME)
  • APMG International
  • BCS, Learning & Development Ltd
  • EXIN

“User” Someone with user name and password access to the website
‘Valid Confirmed booking’ means the firm agreement between Balance Global and the client for attendance at a training course on a specified date. Confirmed bookings are only valid when Paid for the course in full through the balance global website balance-global.com.

2. Acceptance of this Agreement

By clicking the Check box button next to the “I’ve read & accept the Terms & Conditions” link at the bottom of our Checkout Page and then click the “Place Order Button” constitutes acceptance of this agreement. By completing and submitting the electronic order form (or proceeding through the ‘checkout process’) and /or by speaking to an Balance Global representative you are making an offer to purchase goods which, if accepted by us, will result in a binding contract. Neither submitting an electronic order form nor completing the checkout process constitutes our acceptance of your order.

3. Prices

Published Classroom Course prices are not inclusive of any travel, accommodation or living expenses which the delegates may incur in attending classroom courses ordered and paid for through this website unless specifically mentioned.

Balance Global reserves the right to make necessary pricing adjustments to all goods and courses offered and accepted via this website due to an error, changing market conditions or supplier demands. In the event of such errors clients will always be offered a refund if the price adjustment is not acceptable.

4. Payments & Refunds

4.1. Payments

All purchases include VAT and are payable in full immediately upon confirmation. All website purchases will generate a sales invoice electronically. Electronic invoices will be sent to all clients via email at the time of purchase and made available through the clients “Orders” section of the website.

Any late payments will be subject to a late payment charge at the rate of 5% over the UK base rate. Payments can be made by major credit and debit cards including American Express. Full payment is required in full before commencement of a course whether it be classroom or e-learning course. In the case of classroom courses we have the right, where a relevant invoice has not been paid for a specific course/s, to refuse the delegate(s) entry to the course. In these circumstances, the invoice in question will remain payable in full. In the case of e-learning and classroom based courses we reserve the right to block access to purchased online courses and /or withhold examination results and certificates until all payments have been made. An administration fee for cancellations is payable immediately upon invoice. The Terms of this agreement override over any other terms of business or purchase conditions put forward by the Client. Once a payment has been made, via this website by the following methods: Debit Card, Credit Card or via bank transfer the delegate agrees to abide by these terms and conditions. All credit and debit card payments incur an additional 2.99% service fee which is designed to cover our payment gateway charges. All payments must be made in pounds sterling.

4.2 Refunds & Returns

Without affecting your right of cancellation set out below, you can cancel your order for a product at no cost any time before we dispatch a product you have purchased via the website. This right to cancel does not apply to certain categories of products and services, and digital products, once downloaded or used (whichever is earlier) has begun as per clause 4.3.3.

If an item has been dispatched but you still want to cancel your order you may do so providing this is within 14 days of order. In these circumstances we will not refund postage costs we have incurred.

4.3 Right Of Cancellation Up to 14 Days, Exceptions to Cancellation
4.3.1 Statutory Right

Unless one of the exceptions listed below applies, you can cancel your order without giving any reason within 14 days from the day on which you, or a third party indicated by you (other than the carrier), receives the goods purchased (or last good, lot or piece if it relates to goods or multiple lots or pieces delivered separately) or from the day of the conclusion of the contract, in the case of services or digital content not supplied in a tangible medium.

You must inform Balance Global of your decision to cancel your order via email orders@balance-global.com and call us on 0207-148-4782. Once a return has been communicated we will communicate to you an acknowledgement of your request.

4.3.2 Effects of Cancellation

We will reimburse all payments received from you for the goods purchased excluding delivery charges, no later than 14 days from the day on which we received the above communication. We will use the same means of payment as you used for the initial transaction, unless we have expressly agreed otherwise. In any event, you will not incur any fees as a result of such reimbursement. We may withhold reimbursement until we have received the goods back or you have supplied evidence of having sent back the goods, whichever is the earliest.

Note that you must send back the goods no later than 14 days from the day on which you communicate your cancellation. You will have to bear the direct cost of returning these goods. You may be liable if the value of the goods returned diminishes due to the handling of the goods (except when it was necessary to establish the nature, characteristics and functioning of the goods).

4.3.3 Exceptions to the Right of Cancellation

The right of cancellation does not apply to:

  • the delivery of products which are not suitable for return due to health protection or hygienic reasons if unsealed by you after delivery, or which are, after delivery, inseparably mixed with other items;
  • the delivery of sealed audio or video recordings or of sealed software if unsealed by you after delivery;
  • the supply of goods made to your specifications or clearly personalized;
  • the supply of goods which may deteriorate or expire rapidly;
  • a service of Balance Global has been fully performed, and you accepted when you placed your order that we could start to deliver it, and that you could not cancel it once delivery had started;
  • the supply of digital content (including apps, digital software, eBooks, MP3, etc) which is not supplied on a tangible medium (e.g. on a CD or DVD) if you accepted when you placed your order these terms and conditions;
  • the delivery of newspapers, journals or magazines.
  • Classroom Courses where the cancellation date is less than 28 days prior to the course start date.

♦ All cancellations made between 0-28 working days to the course start date are subject to a 100% cancellation fee payable immediately upon    cancellation. Notification of all cancellations must be made in writing.

♦ Should a course booking be made less than 28 working days in advance of the start date of the course, the above cancellation terms still            apply and fees are payable in full and non-refundable.

♦ If the cancellation is more than 28 working days in advance of the course starting a charge of 50% of amount paid will be incurred.

4.4 Refund Time-frame

Once a refund has been approved we aim to make refunds payable to clients within 24 hrs via BACs or Credit /Debit Card refunds. For those who have paid via bank transfer we reserve the right to make refunds via cheque sent through the post within 24 hrs of the refund being approved.

4.5 Customs

When ordering products from Balance Global for delivery outside of the EU the goods may be subject to import duties and taxes, which are levied once the package reaches the specified destination. Any additional charges for customs clearance must be borne by you; we have no control over these charges. Customs policies vary widely from country to country, so you should contact your local customs office for further information. Additionally, please note that when ordering from Balance Global, you are considered the importer of record and must comply with all laws and regulations of the country in which you are receiving the products. Your privacy is important to us and we would like our international customers to be aware that cross-border deliveries are subject to opening and inspection by customs authorities. 6. Classroom Courses

6.1 Nomination of Alternative Delegate

Nomination by the client of an alternative delegate for a course may be made at any time up to the course start date. The fee for making this change is £150 per candidate substitution in order to cover administrative expenses. However, Balance Global cannot guarantee that this can be fully accommodated as there may be examination registration deadlines which are outside our control.

In all cases the customer undertakes to bring these terms and conditions to the attention of delegates. It is the customer’s responsibility to ensure that the delegate(s) receive all the relevant information including the joining instructions and that they meet the eligibility and published pre requisite requirements.

6.2 Deferring of Examinations

Upon commencement of the training course, Balance Global accepts that occasionally an individual delegate may wish, for personal reasons, to defer an examination to a later date. In this case, the delegate will be subject to a rescheduled exam fee. Delegates must inform Balance Global of the deferral at least 24 hours in advance of the original exam time where upon we will advise the client regarding what the rescheduling fee will be.

6.3 Re‐scheduling courses or exams

Rescheduling courses or exams less than 28 working days of the course start date will incur a 50% rescheduling fee based on the original price of the course being rescheduled and is subject to availability.

6.4 Delegate Behavior

Balance Global expects delegates attending classroom based courses to behave in a polite and appropriate manner and reserves the right to exclude delegates or abandon the course in the event of disruptive, abusive or threatening behavior by an individual or group of delegates. In such an event, no refund will be payable to the client of the excluded delegate.

6.5 Course Materials

If for any reason (including but not limited to transit delays beyond the control of Balance Global) course-ware does not arrive on time for the course we will commit to replacing it at the earliest opportunity and make best efforts to make temporary materials accessible as required to continue the learning program. Refunds will not be granted for transit related delays beyond the control of Balance Global.

6.6 Course Changes

Balance Global reserves the right to change any part of a published course if this is caused by circumstances beyond our control or to improve the specification and format of its courses for the benefit of its customers without notice to the customer.

Balance Global reserves the right to cancel or reschedule any course and will advise the customer as soon as the change is known. Balance Global will make all reasonable efforts to avoid changes of this nature. The contents of course timetables are intended for general guidance only. Any typographical error or omission in any sales literature, administrative documentation, course materials, invoice or other document shall be subject to correction without any liability on the part of Balance Global.

The location and date of the course will be announced upon booking. Balance Global reserves the right to change the location and will advise the customer as soon as the change is known. Balance Global will not be liable for out of pocket expenses due to cancellation or any other changes to venue or program.

6.7 Non Attendance

Non‐attendance of any course for any reason whatsoever is deemed to be a cancellation with no notice and payment is due in full.

6.8 Onsite Training on Client Specified Site

It is the Customer’s responsibility to provide all facilities, equipment and set up required for trainer to deliver the training. Balance Global reserves the right to cancel or discontinue the course if, in the Trainer’s opinion, the venue, equipment or conditions are unsuitable.

6.9 Trainer Expenses

Trainer expenses for private, onsite or closed courses will be charged as agreed at the time of the course booking.

6.10 Personal Belongings

Personal belonging or items belonging to the delegate on the delegate brought onto training courses are the sole responsibility of the Delegate. Balance Global accepts no responsibility of the items or any loss or damage that may occur during the course.

6.11 Accommodations for Persons with Disabilities

Balance Global welcomes participation by individuals with disabilities. We are committed to complying with all applicable laws that prohibit discrimination against individuals on the basis of disability in the full and equal enjoyment of its goods, services, programs, activities, facilities, privileges, advantages, or accommodations. To request auxiliary aids or services or if you have any questions regarding accessibility, please contact us.

7. E-Learning Courses

7.1 Corporate e-learning Purchases

Once an e-learning course has been purchased by a corporation the authorised corporate purchaser has the right to set-up the course for a single nominated user. This can be done via the Student Dashboard by Balance Global on behalf of corporate clients on request.

All other purchasers of e-learning courses are strictly prohibited from passing on purchased course access credentials to third party users. Balance Global using detailed IP address tracking and if shared usage of any of our courses is detected we reserve the right to terminate access to the course without compensation /refund.

7.2 Notice of Exam Bookings

All exam bookings and any subsequent changes must be given with 10 working days notice.

7.3 Changes to exam bookings & candidate information

Once an accredited examination has been booked via the website your progress towards siting your examination is managed by the APMG. Any subsequent changes in the candidates information, and or the booked exam time and date, will incur fees from the APMG which our outside of our control and means that all candidate information and exam booking changes will incurr an additional fee of £60 excluding VAT each time a change is made.

7.4 Fair Usage

Fair Usage Policy applies to access to study materials and e-learning services. Balance Global reserves the right to restrict access based on operational requirements including bandwidth consumption to ensure fair access to all learners.

7.5 Course Stability / Content Changes

Whilst Balance Global endeavors to ensure that the information on the online platform is correct, we reserve the right to change or alter course content from that which is published in order to maintain the quality of the learning.

A course becoming ‘out of date’ can be due to the awarding body deciding to alter, change, replace or simply cease the exam. These events are beyond the control of Balance Global and hence we cannot accept any responsibility for any previously purchased course becoming invalid for certification purposes. Moreover it is to be noted that a portion of Balance Global’s courses are supplied by third parties. While we cannot guarantee that third party companies will always remain solvent, we carefully scrutinize our suppliers before adding their courses to our catalogues. In case a third party supplier cease to offer courses for any reason, Balance Global will use their best endeavours to replace our students courses on a like for like basis free of charge.

7.6 Online Course and Exam Expiry Date

Access to e-learning/online products is granted for a 90 to 180 day period. Extensions can be granted upon request so please contact orders@balance-global.com to obtain an extension quotation.

All e-learning proctor examination vouchers are also valid for 90 to 180 days from date of purchase.

7.7 System Security

Registered website users are responsible for their user ID and password at all times and must take care to keep them confidential. You will be responsible for all activities that occur under your user name and password. You must not allow anyone else to use your user name and password with the exception of clause 7.1. You must inform us immediately of any unauthorised use of your user name or password or if you believe that your user name or password has been compromised. We reserve the right to require you to change your user name and password if we believe that they are no longer secure.

We will never email you or ask you on the phone for your password. Therefore, if anyone asks you for your password you please tell us.
We will provide you with access to your course once you have enrolled and completed payment. You will need to log on using your user name / email address and password to use the course.

We continually improve and upgrade our courses and security. There may be occasions where users will be unable to access their course(s) because of this. Please be assured that this time will be kept to a minimum and wherever possible we will give you advance notice via email.

7.8 Additional Software Terms

You may not incorporate any portion of Balance Global Software into your own programs or compile any portion of it in combination with your own programs, transfer it for use with another service, or sell, rent, lease, lend, loan, distribute or sub-license the Balance Global Software or otherwise assign any rights to the Balance Global Software in whole or in part.

You may not use the Balance Global Software for any illegal purpose. We may cease providing any Balance Global Software and terminate your right to use any Balance Global Software at any time. Your rights to use the Balance Global Software will automatically terminate without notice from us if you fail to comply with any of these Terms, the Conditions.

Software incorporated in any Balance Global Service is the property of Balance Global or its software suppliers and protected by EU and international copyright laws.

When you use Balance Global Software, you may also be using the services of one or more third parties, such as a wireless carrier or a mobile platform provider. Your use of these third party services may be subject to the separate policies, terms of use, and fees of these third parties.

No Reverse Engineering. Unless explicitly permitted under applicable mandatory law, you may not, and you will not encourage, assist or authorise any other person to copy, modify, reverse engineer, decompile or disassemble, or otherwise tamper with, Balance Global Software, whether in whole or in part, or create any derivative works from or of the Balance Global Software.

7.9 Message Boards, Chat Boards, Blogs, Virtual Communities, Forums and Other Interactive Media (“Interactive Services”)

In connection with your use of the website, you may have access to and use of discussion groups, chat rooms, message boards, blogs, virtual communities, wikis, forums and other collaborative website capabilities, and functionality (“Interactive Services”). If you participate in or use any Interactive Services, you are responsible for User Content you upload, post, link to or otherwise transmit (collectively “transmit”) and the consequences thereof. You expressly agree that we have no responsibility for or control over the User Content you may transmit using these Interactive Services. Additionally, we do not represent, warrant or guarantee the truthfulness, accuracy, quality, or reliability of any of the User Content posted, displayed, linked to or otherwise transmitted via any Interactive Services. We also do not endorse any opinions expressed in or through any Interactive Services. You agree that you must evaluate, and bear all risks associated with, the use of any User Content, including any reliance on the accuracy, completeness, or usefulness of such User Content.

We do actively monitor, regulate use of many of our Services and reserve the unconditional right (but not the obligation) to remove, move or edit any User Content we consider in our sole discretion to be harmful, offensive, disruptive, in violation of law, regulation or any agreement, including, without limitation, which is or may be in violation of this Agreement. We have no liability or responsibility to you or any other person or entity for performance or non-performance of such monitoring activities.

Additionally, you agree to:

  • not post, email, upload, transmit or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libellous, invasive of another’s privacy, hateful, or racially, ethnically or otherwise objectionable;
  • not impersonate any person or entity;
  • not post, email, upload, transmit or otherwise make available any content that harms minors in any way;
  • not forge headers or otherwise manipulate identifiers in order to disguise the origin of any User Content transmitted through the Site;
  • not post, email, upload, transmit or otherwise make available any content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
  • not post, email, upload, transmit or otherwise make available any content that infringes the intellectual property rights of any party;
  • not post, email, upload, transmit or otherwise make available any content comprising any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of commercial solicitation;
  • not post, email, upload, transmit or otherwise make available any content comprising any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
  • not disrupt the normal flow of dialogue, cause a screen to “scroll” faster than other users of the Site are able to type, or otherwise act in a manner that negatively affects other users’ ability to engage in real-time exchanges;
  • not interfere with or disrupt the Site or servers or networks connected to the Site, or disobey any requirements, procedures, policies or regulations of networks connected to the Site;
  • not intentionally or unintentionally violate any applicable local, state, national or international law;
  • not provide material support or resources (or to conceal or disguise the nature, location, source, or ownership of material support or resources) to any organization(s) designated by the United States government as a foreign terrorist organization pursuant to section 219 of the Immigration and Nationality Act;
  • not “stalk” or otherwise harass any person;
  • not collect or store personal data about other users; or,
  • not advertise or solicit anyone to buy or sell products or to make donations of any kind absent prior written approval from Balance Global, as set forth in more detail in Section 6 below.

You hereby grant to Balance Global any User of this Site permission to use any User Content you submit via the Interactive Services by all means and in any media now known or hereafter developed, solely for the purposes for which such User Content was submitted. Balance Global will not use this User Content for any purpose other than the purpose(s) for which it was submitted unless you agree to such use. You retain ownership of User Content you submit and Balance Global does not obtain ownership in or to such User Content (or in the case of third-party owned User Content submitted by you with the owner’s permission, the third party retains ownership).

8. Reviews, Comments, Communications & Other Content

Visitors may post reviews, comments and other content; and other communications; and submit suggestions, ideas, comments, questions or other information, as long as the content is not illegal, obscene, abusive, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties or objectionable and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings or any form of “spam”.

You may not use a false e-mail address, impersonate any person or entity, or otherwise mislead as to the origin of a card or other content. We reserve the right to remove or edit such content. If you believe that any content on or advertised for sale on any Balance Global Service contains a defamatory statement, or that your intellectual property rights are being infringed by an item or information on any Balance Global Service, please notify us by emailing orders@balance-global.com and we will respond.

If you post content or submit material, and unless we indicate otherwise, you grant: (a) Balance Global a non-exclusive, royalty-free and fully sublicensable and transferable rights to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media; and (b) Balance Global, its sublicenses and transferees the right to use the name that you submit in connection with such content, if they choose. No moral rights are assigned under this provision.

You agree that the rights you grant above are irrevocable during the entire period of protection of your intellectual property rights associated with such content and material. To the extent permitted by law, you agree to waive your right to be identified as the author of such content and your right to object to derogatory treatment of such content. You agree to perform all further acts necessary to perfect any of the above rights granted by you to Balance Global including the execution of deeds and documents, at our request.

You represent and warrant that you own or otherwise control all of the rights to the content that you post; that, as at the date that the content or material is posted: (i) the content and material is accurate; and (ii) use of the content and material you supply does not breach any applicable policies or guidelines and will not cause injury to any person or entity (including that the content or material is not defamatory). You agree to indemnify Balance Global for all claims brought by a third party against Balance Global arising out of or in connection with the content and material you supply except to the extent that any liability arises from our failure to properly remove the content when it is notified of the illegal nature of the content (Notice Form) arising out of or on the grounds of, or originating from the content that you have communicated to us.

9. Compliance with the can-spam act

The User agrees to abide by the CAN-SPAM Act (15 U.S.C. §§7701-13) when utilizing the Site and contacting other users by email. The User may not use the Site, including, but not limited to the Interactive Services, to bombard individuals or groups with uninvited commercial email, sexually explicit commercial email, or engage in other activities in violation of the CAN-SPAM Act, such as, but not limited to: (a) harvesting email addresses from the Site; (b) falsifying or using misleading header information; or (c) using deceptive subject lines. The User may not promote Balance Global products or services through uninvited commercial emails without the express written consent of Balance Global.

Balance Global will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages of any kind resulting from users’ failure to adhere to the CAN-SPAM Act or any other applicable laws. The User agrees to indemnify, defend, and hold harmless Balance Global, its affiliates, officers, directors, employees, consultants, and agents from any and all third party claims, liability, damages, and/or costs (including, but not limited to, attorneys’ fees) arising from the User’s activities in violation of the CAN-SPAM Act or any other applicable laws. The terms of this Agreement will inure to the benefit of Balance Global successors, assignees, and licensees. The User covenants to cooperate fully in the defence of any claim. However, Balance Global reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by User and User shall not in any event settle any matter without the written consent of PMI.

10. Course Cancellations and transfers

Balance Global reserves the right to cancel or reschedule any course and will advise the customer as soon as this change is known. Balance Global will use all reasonable endeavours to avoid changes of this nature. When this is unavoidable Balance Global will refund in full all monies paid less the cost of the course manual, or at the customer’s option apply all monies to a rescheduled or alternative course.

11. Course Suitability

The customer accepts that it is their responsibility to ensure that the course booked is suitable for the requirements and abilities of the delegates attending. Balance Global employees may recommend courses or learning solutions, however, the assessment and the final decision concerning suitability of the course is the customer’s responsibility. In cases where we have made recommendations, we do so in good faith and will not be willfully misleading. All public and onsite training courses are delivered only in English and all delegates must be sufficiently proficient in the English language before attending the course. Balance Global provides no guarantee or warranty to delegate’s for their eligibility to sit for any examination. It is the delegate’s responsibility to ensure they meet all of the requirements to sit the relevant examination and shall have no recourse over Balance Global if denied the right to take an examination by the examination institute.

12. Course Materials Delivery

We endeavour to provide you with your chosen training and any supporting materials such as software, peripherals or text book if applicable to arrive within 5 working days of placing an order with a maximum of 28 days from the dispatch date, Balance Global will not accept any claim from the delay of such materials due to circumstances beyond its control until the 28 day period has expired, at which point at the absolute discretion of Balance Global compensation will be considered up to a maximum of £65.

13. Third Party Discount Voucher Customers

From time to time Balance Global will engage third party resellers of our courses who will offer Balance Courses for sale at various levels of discount through the sale of Discount Vouchers redeemable via the Balance Website Cart /Checkout.

All purchases of third party discount vouchers are subject to the resellers terms and conditions agreed at time of purchase. Any queries concerning  refunds are the  sole responsibility of the reseller.

Third Party Discount Voucher Customers always have a set limited redemption date (set by the reseller). These vouchers once expired cannot be used on the Balance Global website. Should you hold an expired voucher, please talk to us and we will extend the voucher expiry date for a £40 charge.

Any alterations or changes to vouchers / training purchased (including editing start date) will charged at £40 for administration fee.

By agreement upon purchase you will be issued with a voucher and instructions to redeem the voucher to obtain access to your course.

14. Links

As a courtesy to Users, we may provide links to other websites or resources owned and operated by third parties. Because we have no control over such sites and resources, you acknowledge and agree that we are not responsible for the availability of such external sites or resources, and do not endorse and are not responsible or liable for any content, advertising, products, services or other materials on or otherwise made available via such sites or resources. You further acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services made available on or through any such site or resource.

You may link to the Site by hyperlinking to the Site’s homepage or reproducing a URL. The use of Balance Global Trademarks to link to the Site is not permitted under this Agreement.

15. Complaint Resolution

Customer complaints are handled by our Customer Services Department, which is empowered to handle and resolve customer complaints. In the event you are still dissatisfied, the case will be referred to the Customer Services Management, at this point final and absolute decision will be made to address your complaint.

We have no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party sites or services. We advise you to read the terms and conditions and privacy policy of any third-party site that you visit.

17. Deviation

No deviation from these terms and conditions will be allowed without the express written permission of a Director of Balance Global. No communication either verbal or printed on our websites will override these Terms and Conditions. If in any case any of these conditions shall be held to be invalid or shall not apply, the contract and the other conditions shall remain in force and effect.

18. Force Majeure:

Balance Global shall not be in breach of this contract if the provision of services are delayed or cancelled or reduce through any circumstances beyond its reasonable control including acts of God (including but not limited to, fire, flood, earthquake, storm, snow, hurricane or other natural disaster) sickness, war, invasion, act of foreign enemies, hostilities (regardless of whether war is declared), civil war, rebellion, revolution, insurrection, military or usurped power or confiscation, terrorist activities, nationalization, government sanction, blockage, embargo, labor dispute, strike, lockout or interruption or failure of electricity or telephone service. Delegates must ensure that they can attend the training courses which they are scheduled to attend. Balance Global will not be held liable, financially or actually, for their non‐attendance, whatsoever the reason may be.

19. Warranty and Liability

For examination courses, no warranty is given that a delegate will pass the examination(s), the questions for which are set and marked by the APMG examining authority.

Balance Global and its affiliates will not be responsible for (i) losses that were not caused by any breach on our part, or (ii) any business loss (including loss of profits, revenue, contracts, anticipated savings, data, goodwill or wasted expenditure), or (iii) any indirect or consequential losses that were not foreseeable to both you and us when the contract for the sale of products by us to you was formed.

The laws of some countries do not allow some or all of the limitations described above. If these laws apply to you, some or all of the above limitations may not apply to you and you might have additional rights.

Nothing in these conditions limits or excludes our responsibility for fraudulent representations made by us or for death or personal injury caused by our negligence or wilful misconduct.

We will not be held responsible for any delay or failure to comply with our obligations under these conditions if the delay or failure arises from any cause which is beyond our reasonable control. This condition does not affect your right to have the products sent to you within a reasonable time. If the delay occurs before the products are dispatched, we will not charge you for the products until they are dispatched and you may cancel your order at any time prior to dispatch.

You may not extract and/or re-utilise parts of the content of any Balance Global service without our express written consent. In particular, you may not utilise any data mining, robots, or similar data gathering and extraction tools to extract (whether once or many times) for re-utilisation any substantial parts of the content of any Balance Global, without our express written consent. You may also not reproduce and or publish any of our course media, templates, audio our online documentation and product pricing and listings without our express written consent.

In addition graphics, logos, page headers, button icons, scripts, and service names included in or made available through any Balance Global Service are trademarks or trade dress of Balance Global. Balance Global’s trademarks and trade dress may not be used in connection with any product or service that is not Balance Global’s, in any manner that is likely to cause confusion among customers or in any manner that disparages or discredits Balance Global. All other trademarks not owned by Balance Global that appear in any Balance Global Service are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Balance Global.

You may not misuse the Balance Global Services. You may use the Balance Global Services only as permitted by law. The licences granted by Balance Global terminate if you do not comply with these terms and conditions.

This Agreement (and any further rules, polices, or guidelines incorporated by reference) shall be governed and construed in accordance with the laws of United Kingdom, without giving effect to any principles of conflicts of law.

23. Disclaimer

The provision of in-house certificates of course completion, does not provide any guarantee of workmanship, performance, quality or status of a learner during future endeavours, and in no way are formal accredited qualifications.

All information provided during training courses is given in good faith and Balance Global will not be held responsible for actions taken by the delegate/client, any other individual or organisation as a result of the information provided during the training course.

We reserve the right, at our sole discretion, to modify or replace these Terms and Conditions by posting the updated terms on the Site. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms and Conditions.

Please review this Agreement periodically for changes. If you do not agree to any of this Agreement or any changes to this Agreement, do not use, access or continue to access the Site or discontinue any use of the Site immediately.

You must not use any Balance Global Service: (i) in any way that causes, or is likely to cause, any Balance Global Service, or any access to it to be interrupted, damaged or impaired in any way, or (ii) for fraudulent purposes, or in connection with a criminal offence or other unlawful activity, or (iii) to cause annoyance, inconvenience or anxiety.

25. Survival of Terms
